The Vacancy
Job Purpose - The purpose of this role is to manage governance and compliance activities and embed good corporate governance practice across the group in the UK and overseas.
Job Responsibilities
Responsible for developing and implementing an appropriate governance framework across the group.
Responsible for developing a monitoring system to assess regional compliance with the governance framework.
Responsible for implementing and maintaining a central repository of governance policies and procedures.
Responsible for communicating good governance practices across the group.
Responsible for providing governance expertise and support to regional management in the development and implementation of governance policies.
Oversee the implementation and roll out of various Committees at a Group level, including the development of Committee terms of reference, supporting the scheduling of meetings, preparation, and distribution of committee papers, taking minutes and monitoring actions.
Providing expert governance advice and administrative support in relation to the governance and management of group committees.
Advising Chairs on governance matters and ensuring compliance with terms of reference.
Supporting Committee Chairs in developing their quarterly Group Board update.
Capturing succinct, accurate minutes and agreed actions of committee and board meetings.
Establish, oversee, and monitor periodic reviews of corporate governance practices across the group, including recommending changes and monitoring the implement)
Applying excellent drafting skills to the preparation of documents for external audiences or senior internal audiences without the need for significant review /redrafting /input from others
Expert knowledge of UK legal and regulatory requirements
Understanding of the importance and application of effective corporate governance arrangements
Applying strategic judgement and attention to detail to the preparation, collation, and maintenance of corporate records.
Protecting the confidentiality of discussions and records and ensuring accurate and complete record keeping in line with retention schedules and applicable law.
Responding to queries relating to the groups legal form and status, regulation, and government classification.
Service improvement - Identifying and implementing recommendations to enhance the effectiveness and efficiency of the groups governance processes, systems, and policies, for example developing, updating, or communicating governance related protocols.
Identifying and implementing ways the governance team can contribute to the delivery of corporate strategies and priorities through its processes and work, such as in relation to transformation and equality, diversity, and inclusion requirements
Qualifications & Experience
10 yrs. of experience working in a similar role.
Institute of Chartered Secretaries and Administrators (ICSA)qualification/membership.
Very high standard of written English.
